Introduction
These Terms of Service ("Terms") govern the use of services provided by Montana Corporate Services, LLC ("Montana Corporate"). By engaging Montana Corporate for any services, the Customer agrees to be bound by these Terms. If the Customer does not agree, the Customer must not use Montana Corporate's services.For the purposes of these Terms, "Customer" refers to the individual or entity engaging Montana Corporate for services, including any representatives, agents, or affiliates acting on behalf of the individual or entity.
1. General Provisions
1.01 Binding Agreement: These Terms constitute a binding agreement between the Customer and Montana Corporate. By using Montana Corporate's services, the Customer acknowledges that the Customer has read, understood, and agreed to these Terms.1.02 Choice of Law: These Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law principles.
1.03 Choice of Venue: Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the Montana State District Court located in Lewis and Clark County.
1.04 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
2. Formation and Registration Services
2.01 No Refunds: Once the submission of the LLC formation document to the Montana Secretary of State is made, no refunds of any kind are permitted. If there is an error on the Customer's part in the details of the submission, an amendment can be filed for a $55 charge.2.02 Legal Entity Disclaimer: The LLC is a legal entity that can conduct any legal business, but Montana Corporate does not warrant or represent the applicability of the LLC for any intended purpose.
2.03 Photo ID Requirement: A government-issued photo ID must be provided to Montana Corporate before Montana Corporate completes any registration work on behalf of the Customer's LLC. Any documents received will beheld until a photo ID is received and will be returned to the Customer if ID is not provided within 30 days. A $10 postage fee will be charged for any documents returned to the Customer.
2.04 Ownership Acknowledgment: The Customer acknowledges that all documents, filings, and registrations completed by Montana Corporate are done on the Customer's behalf and for the Customer's benefit. Montana Corporate retains no ownership interest in any entity, vehicle, or other property associated with its services.
3. Licensing and Vehicle Services
3.01 Suitability Disclaimer: Montana Corporate cannot judge the suitability of any vehicle, aircraft, boat, or other device you may want to purchase and/or license through your company.3.02 Licensing Attempts: While Montana Corporate willtryevery avenue to complete the licensing process, Montana Corporate cannot guarantee it will besuccessful. There will be no refunds for incomplete or failed licensing attempts.
3.03 Minimum Fee: If Montana Corporate is in possession of the Customer's vehicle title andhascompleted any title work on the Customer's behalf, the Customer agrees to pay a minimum fee of $150 even if the licensing fails and Montana Corporate must return the title to the Customer.
3.04 Additional Fees: There may be additional fees if Montana Corporate must obtain special permits, file additional documents, or perform extraordinary work in the licensing and/or titling process. The Customer agrees to reimburse Montana Corporate for any funds paid to any State, Federal, or other agency on behalf of the Customer's company or any of its members.
3.05 Vehicle Usage Disclosure: Montana Corporate does not guarantee the suitability, safety, or legality of any vehicle, aircraft, boat, or other device purchased or licensed through the Customer's company. The Customer is solely responsible for ensuring compliance with all applicable laws and regulations.
4. Payment and AutoPay
4.01 AutoPay Authorization for LLC Services: If the Customer signs up for AutoPay, the Customer agrees to allow Montana Corporate to charge the Customer's credit card for routine renewals of Montana State-required reports and subscriptions to keep the Customer's company active and in good standing.4.02 AutoPay Authorization for Licensing Services: If the Customer signs up for AutoPay forvehicles, aircraft, boats, or other devices, the Customer agrees to allow Montana Corporate to charge the Customer's credit card for agreed-upon renewals of Montana State or Federal licenses and permits.
5. Assumption of Risk and Indemnification
5.01 Assumption of Risk: The Customer acknowledges and accepts that engaging Montana Corporate for services involves inherent risks, including but not limited to errors in documentation, delays in processing, or unforeseen legal or regulatory challenges outside of Montana Corporate's control. Except in cases of Montana Corporate's own fraud, willful injuryto Customer's person or property, or negligent or purposeful violation of applicable law, the Customer assu'mes all risks associated with the useof Montana Corporate's services.5.02 Indemnification: Except in cases of Montana Corporate's own fraud, willful injury to Customer's person or property, or negligent or purposeful violation of applicable law, the Customer agrees to indemnify, defend, and hold harmless Montana Corporate, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with the Customer's use of Montana Corporate's services, the Customer's breach of these Terms, or the Customer's violation of any applicable laws or regulations.
6. Dispute Resolution
6.01 Waiver of Class Action: The Customer agrees that any dispute arising out of or relating to these Terms orthe services provided by Montana Corporate will be resolved on an individual basis. The Customer waives any right to participate in a class action lawsuit or class-wide arbitration.6.02 Arbitration Clause: Any dispute, controversy, or claim arising out of or relating to these Terms orthe services provided by Montana Corporate shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Montana, and the decision of the arbitrator shall be final and binding.
7. Customer Responsibility and Disclaimer
7.01 Customer Responsibility: The Customer is solely responsible for the accuracy of the information provided to Montana Corporate and for ensuring compliance with all applicable laws and regulations. Montana Corporate shall not be held liable for any consequences arising from inaccurate or incomplete information provided by the Customer.7.02 No Legal or Tax Advice Disclaimer: Montana Corporate is not a law firm or tax advisory service. Montana Corporate does not provide legal or tax advice. Any information provided by Montana Corporate is for general informational purposes only and should not be construed as legal or tax advice. By using Montana Corporate's services, the Customer agrees to these Terms of Service. If the Customer has any questions or concerns, the Customer should contact Montana Corporate before proceeding.
